1. Platform Purpose
The Platform is a marketplace that connects healthcare professionals with healthcare facilities seeking staffing services, including locum tenens, temporary staffing, and related professional engagements.
2. User Eligibility
Users must be at least 18 years old and legally capable of entering into contracts. Healthcare professionals must possess valid licenses and certifications required to practice in their applicable jurisdictions.
3. Healthcare Professional Accounts
Healthcare professionals may create profiles that include professional credentials, licensure information, work history, availability, and other relevant professional information. Users agree that all information provided is accurate and current.
4. Healthcare Facility Accounts
Healthcare facilities may post staffing opportunities and communicate with healthcare professionals through the Platform. Facilities agree to provide accurate information regarding assignments, credential requirements, and compensation.
5. Marketplace Model
The Platform operates as a technology marketplace connecting healthcare professionals and healthcare facilities. The Company does not employ healthcare professionals and does not provide medical services.
6. Independent Contractor Relationship
Healthcare professionals who obtain assignments through the Platform typically perform services as independent contractors to the healthcare facility unless otherwise agreed between the parties. The Company does not control the clinical judgment or professional services provided by healthcare professionals.
7. Fees
The Company may charge healthcare facilities a service fee for successful placements or assignments facilitated through the Platform. Specific fee structures may be described separately in agreements or platform documentation.
8. Non-Circumvention
Users agree not to circumvent the Platform by entering into direct staffing arrangements that avoid the Platform's service fees for opportunities initially introduced through the Platform. This restriction applies for a period of 12 months from the date of introduction.
9. Credential Verification
The Company may attempt to verify professional credentials, licenses, and certifications. However, the Company does not guarantee the accuracy or completeness of such verification.
10. Responsibility for Patient Care
Healthcare professionals remain solely responsible for their medical judgment and clinical services. Healthcare facilities remain responsible for patient care within their facilities. The Company does not provide healthcare services and does not supervise medical treatment.
11. HIPAA and Patient Information
The Platform is not intended to store or transmit Protected Health Information (PHI). Users agree not to upload patient records or identifiable patient information.
12. Acceptable Use
- Provide false or misleading information
- Violate any applicable laws or regulations
- Upload harmful software or attempt unauthorized access
- Use the Platform to harass, threaten, or harm others
13. Intellectual Property
All content, software, and materials on the Platform are owned by the Company or its licensors and are protected by intellectual property laws.
14. Limitation of Liability
To the fullest extent permitted by law, the Company shall not be liable for any indirect, incidental, special, or consequential damages arising from the use of the Platform.
15. Disclaimer of Warranties
The Platform is provided on an "as is" and "as available" basis. The Company makes no warranties regarding availability, reliability, or suitability of the Platform.
16. Indemnification
Users agree to indemnify and hold harmless the Company from any claims, damages, or liabilities arising from their use of the Platform or violation of these Terms.
17. Termination
The Company may suspend or terminate user access to the Platform at any time for violation of these Terms or for other reasonable reasons.
18. Governing Law
These Terms shall be governed by the laws of the State of Wyoming, without regard to conflict-of-law principles.
19. Changes to Terms
The Company may modify these Terms at any time. Updated Terms will be posted on the Platform with a revised effective date.
